GENERAL TERMS AND CONDITIONS OF BOONTJE B.V.<\/strong><\/p>\n

With regard to the legal practice and mediation practice<\/em><\/p>\n

\u00a0<\/em><\/p>\n

    \n
  1. Boontje B.V. is a private limited liability company practicing law and mediation. Boontje B.V. is based in Amsterdam and is registered in the Commercial Register under number 34207339.<\/li>\n<\/ol>\n

     <\/p>\n

      \n
    1. These general terms and conditions apply to all quotations, assignments, and work carried out by Boontje B.V.<\/li>\n<\/ol>\n

       <\/p>\n

        \n
      1. All assignments are accepted and performed exclusively by Boontje B.V., notwithstanding Articles 7:404 and 7:407(2) of the Dutch Civil Code, even if it is the intention of the parties that an assignment be carried out by a legal entity affiliated with Boontje B.V. These general terms and conditions are also stipulated for the benefit of all persons involved in the execution of an assignment on behalf of Boontje B.V. and\/or who may bear any liability in connection therewith.<\/li>\n<\/ol>\n

         <\/p>\n

          \n
        1. Boontje B.V. is authorised to engage third parties in the performance of assignments. The selection of third parties will, where possible, be made in consultation with the client and with due care. Boontje B.V. is not liable for any shortcomings of such third parties. Boontje B.V. is authorised to accept, on behalf of the client, any limitations of liability stipulated by third parties.<\/li>\n<\/ol>\n

           <\/p>\n

            \n
          1. Any liability of Boontje B.V., its affiliated legal entities, and all persons involved in the execution of the assignment is limited to the amount paid out in the relevant case under its professional liability insurance, including the applicable excess. The insured amount under Boontje B.V.’s professional liability insurance is a maximum of EUR 5.000.000,- per claim for the legal practice and EUR 5.000.000,- per claim for the mediation practice, including the applicable excess. Any claim shall lapse if Boontje B.V. has not been notified in writing within one year of the date on which the event or circumstance giving rise, or potentially giving rise, to liability was discovered.<\/li>\n<\/ol>\n

             <\/p>\n

              \n
            1. If, for any reason whatsoever, no payment is made under the aforementioned insurance, any liability of Boontje B.V. shall be limited to an amount equal to the fee charged for the performance of the assignment in question, with a maximum of EUR 5.000,-. The above limitations also apply if Boontje B.V. is held liable for the malfunctioning of equipment, software, data files, registers, and\/or other items used in the performance of the assignment.<\/li>\n<\/ol>\n

               <\/p>\n

                \n
              1. The client indemnifies Boontje B.V. and all persons affiliated with Boontje B.V. against any claims by third parties arising from or in connection with the performance of an assignment, including any related legal costs, unless such claim results from a professional error by Boontje B.V.<\/li>\n<\/ol>\n

                 <\/p>\n

                  \n
                1. Unless otherwise agreed, the fee for work performed by Boontje B.V. will be calculated on the basis of the number of hours worked multiplied by the hourly rates determined by Boontje B.V., plus a fixed percentage to cover general office costs. Expenses (disbursements) paid by Boontje B.V. on behalf of the client will be charged separately. All amounts are exclusive of VAT. In principle, invoices will be issued monthly. Invoices must be paid within 14 days of the invoice date.<\/li>\n<\/ol>\n

                   <\/p>\n

                    \n
                  1. If Boontje B.V. processes personal data, whether or not in connection with the performance of an assignment, such processing will take place in accordance with Boontje B.V.’s privacy policy, which can be consulted at boontje.nl<\/a>.<\/li>\n<\/ol>\n

                    \u00a0<\/strong><\/p>\n

                    With regard to the legal practice<\/em><\/p>\n

                    \u00a0<\/em><\/p>\n

                      \n
                    1. Pursuant to applicable regulations (including the Legal Profession Regulations and the Money Laundering and Terrorist Financing (Prevention) Act), Boontje B.V. is required to establish the identity of clients, to verify whether unusual transactions have been or are planned, and, where appropriate, to report such transactions to the authorities without informing the client. The client acknowledges and agrees to this.<\/li>\n<\/ol>\n

                       <\/p>\n

                        \n
                      1. The office complaints procedure and the Regulations of the Disputes Committee for the Legal Profession apply to the legal services provided by Boontje B.V. The office complaints procedure can be consulted at boontje.nl<\/a>. In the event of a complaint, Boontje B.V. will attempt to reach a solution in constructive consultation with the client. If no solution is reached, the dispute may be submitted to the Disputes Committee for the Legal Profession.<\/li>\n<\/ol>\n

                        \u00a0<\/em><\/p>\n

                        With regard to the mediation practice<\/em><\/p>\n

                         <\/p>\n

                          \n
                        1. The mediation services provided by Boontje B.V. are subject to the MfN Mediation Regulations and the Rules of Conduct for MfN-registered mediators.<\/li>\n<\/ol>\n

                           <\/p>\n

                            \n
                          1. The parties to the mediation and Boontje B.V. shall endeavour to resolve any disputes through mediation in accordance with the MfN complaints procedure. The MfN complaints procedure can be consulted at mfnregister.nl<\/a>.<\/li>\n<\/ol>\n

                            \u00a0<\/em><\/p>\n

                            Final provisions<\/em><\/p>\n

                             <\/p>\n

                              \n
                            1. The legal relationship between the client and Boontje B.V. is governed by Dutch law. The District Court of Amsterdam has exclusive jurisdiction to hear disputes between Boontje B.V. and the client at first instance.<\/li>\n<\/ol>\n

                               <\/p>\n

                                \n
                              1. These general terms and conditions have been drawn up in Dutch and English. In the event of any discrepancy in content or interpretation between the Dutch and English versions, the Dutch text shall prevail. These general terms and conditions can also be consulted at boontje.nl<\/a>.<\/li>\n<\/ol>\n
